Does Good Governance Equal a Great Board?

"While good governance structure doesn't guarantee a great board, it can help improve the chances that a board will function well...top-notch boards need two essential elements, independence and a good ownership structure, to have high governance standards." While it's difficult to identify great boards, there are some "hallmarks of excellence":

  • "A separate independent chairman [and]...a lead director."
  • "Non-executives...meet alone as a matter of policy, not just in an emergency."
  • The board conducts "a self-evaluation where the members comment on each other's abilities and performance."
  • A well-performing board adds value to shareholders.
  • Board members have experience, know the industry and have time to devote to your company.
  • The board ensures that compensation policies focus on more than short-term incentives.
